Welcome to Nifty QR, which is referred to as ("Nifty QR," "we," "us," or "our") in these Terms of Service, collectively referred to as the "Terms." These Terms govern your access to and use of the Nifty QR website, services, and any related applications or tools, which are collectively referred to as the "Services." By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you are not permitted to use our Services.
1. Acceptance of Terms
When you access or use Nifty QR, you confirm that you are at least 19 years old or have reached the age of majority in Ontario, Canada and possess the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Your use of the Services signifies your full acceptance of these Terms and your commitment to comply with them.
2. Description of Services
Nifty QR provides tools for creating, managing, and sharing QR codes, which may include free and paid features such as QR code generation, customization, analytics, and other related functionalities. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice. Our goal is to provide a seamless experience, but we may make changes to improve or adapt the Services as needed.
3. User Accounts
To access certain features of the Services, you may need to create an account by providing accurate, current, and complete information during registration, and you agree to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, and you must notify us immediately at [email protected] if you suspect unauthorized use of your account. We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms or applicable law.
4. User Responsibilities
You agree to use the Services only for lawful purposes and in accordance with these Terms, refraining from creating QR codes that link to illegal, harmful, or fraudulent content, violating any applicable laws, regulations, or third-party rights, or engaging in any activity that could harm, disable, or overburden our Services. You retain ownership of any content you upload or create using the Services, such as QR code designs or linked URLs, but by using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely to provide and improve the Services. You are prohibited from using the Services to create QR codes that link to or promote malware, phishing, or other harmful software, obscene, defamatory, or discriminatory content, or content that infringes intellectual property rights or violates privacy laws.
5. Fees and Payments
Some features of Nifty QR are offered for free, while others require payment, including subscriptions or one-time fees as outlined on our pricing page. All payments for Nifty QR Services are processed securely through our third-party payment processor, Stripe.com, and by using our paid Services, you agree to Stripe’s Terms of Service (available at https://stripe.com/legal) and Privacy Policy (available at https://stripe.com/privacy), authorizing Stripe to charge the applicable fees to your provided payment method. You must provide valid payment information through Stripe for paid Services, and all fees are non-refundable unless otherwise stated. We may modify pricing at any time, and for subscription-based Services, we will notify you of price changes at least 30 days in advance.
6. Intellectual Property
All content, trademarks, and intellectual property related to the Services, excluding user-generated content, are owned by Nifty QR or its licensors, and you may not copy, modify, or distribute our intellectual property without prior written consent. If you provide feedback or suggestions about the Services, we may use such feedback without any obligation or compensation to you. Your use of the Services does not grant you any ownership rights over Nifty QR’s intellectual property.
7. Privacy
Your use of the Services is subject to our Privacy Policy, which is available at https://niftyqr.com/privacy, and you are encouraged to review it to understand how we collect, use, and protect your personal information. Additionally, any payment information you provide is handled by Stripe.com in accordance with their Privacy Policy, ensuring secure processing of your payment data.
8. Termination
You may stop using the Services at any time, and for paid subscriptions, you can follow the cancellation instructions in your account settings. We reserve the right to suspend or terminate your access to the Services if you violate these Terms, engage in illegal activities, or for any other reason at our discretion. Upon termination, your account and access to the Services will be disabled, and any user-generated content may be deleted.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, reliability, or availability of the Services or any QR codes generated through them. QR codes may link to third-party websites or content, and we are not responsible for the content, security, or practices of third-party sites, including Stripe.com.
10. Limitation of Liability
To the fullest extent permitted by law, Nifty QR and its affiliates, officers, employees, or agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid us for the Services in the preceding 12 months, ensuring that our liability remains limited in scope.
11. Indemnification
You agree to indemnify and hold harmless Nifty QR, Stripe.com, and their respective affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses, including legal fees, arising from your use of the Services, violation of these Terms, or infringement of third-party rights. This ensures that you are responsible for any legal or financial consequences resulting from your actions.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services will be resolved through binding arbitration in Toronto, Ontario, conducted under the rules of the Canadian Arbitration Association, and you waive any right to participate in a class action lawsuit or class-wide arbitration.

We may update these Terms from time to time, and we will notify you of material changes by posting the updated Terms on Nifty QR or by emailing you. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms, ensuring that you remain informed of any modifications.
14. Miscellaneous
These Terms, together with the Privacy Policy and Stripe’s Terms of Service, constitute the entire agreement between you and Nifty QR regarding the Services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. You may not assign your rights or obligations under these Terms without our prior written consent, but we may assign these Terms at our discretion.
